This note sets out the terms & conditions of all contracts under which we (Com1 UK Ltd.) license any use of our software and associated materials. The license only comes into effect once you are granted a Registered Users number after full payment for the order has been received.
We are sole proprietors of the copyright in all the software and documentation, which is the subject of Registration No. 850524001 under the Software Registry. When you enter as our customer into a contract with us, we grant you a non-exclusive non-transferable license to use our software in object-code form only on one machine on one site for your own business purposes. You for your part agree to respect the integrity of our software: in other words not to reproduce transfer modify nor incorporate any part in any way, and not to decompile reverse-engineer nor disassemble it nor in any other way derive the source code/ object code from it. Naturally you also undertake not to divulge the software to anyone else, nor allow anyone else to benefit from it. If anyone were to breach this agreement, Com1 UK Ltd. may terminate it immediately and they have to return the software and documentation immediately and they have to return the software and documentation immediately and erase all trace of it from their computer system and any other media under their custody or control. Since it is the result of many years development, Com1 UK Ltd. takes the strongest action against all infringements of copyright. (Wilful violations of the law can result in extensive civil damages and even criminal penalties).
The originality of our software and systems means there are not universally accepted standards by which to describe them or their benefits and limitations or measure their performance. Consequently, as usually applies with this kind of software and system, no statements or representations in any of our literature amount to a warranty, and customers are not entitled to rely on them as such. We cannot accept any liability for any loss or damage resulting from decisions made as a result of using our software or systems. This simply means that users take full responsibility for their own decisions after using these systems or software. For users themselves control the situations in which they use the systems – the inputs, the decisions they subsequently make, the ways they implement them. On the basis of varied users’ experience we do our best to describe our products accurately and to ensure they (and the associated models and methodologies) are of a high quality, and welcome all feedback from customers. In fact, our products and literature are based on customers evaluations, and we take great care to check product performance and descriptive accuracy. We further recommend that our systems be used to evolve relevant acceptable evaluative standards in this field.
Our continuous programme of development may lead to specifications being modified or withdrawn from time to time, and prices varied. We try to give due warning of anything of this kind, but we have to reserve the right to do it without notice. Nothing in this agreement affects your statutory rights. The validity, construction and performance of this agreement shall be governed by English law and any disputes shall be decided in the English Courts, to which both parties submit. May we add that we are campaigning for improvement in computer related law and associated standard specifications which would allow reputable software houses and consultants to provide bona fide customers warranties which are commensurate with system effectiveness. We hope you will reap the full benefits of our software and find it highly effective for your purpose.
